This agreement will be governed, construed, and enforced according to the Laws of the Province of Ontario, without regard to its conflict of laws rules. Each party hereby irrevocably consents to the exclusive jurisdiction and venue of any Ontario Provincial court located within Peel Region, Ontario in connection with any matter arising out of this agreement or the transactions contemplated under this agreement.
